Welcome to ManaChat. By accessing or using our website, mobile applications, or any other services we provide (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and ManaChat. We may update these Terms from time to time, and your continued use of the Services after such changes constitutes acceptance of the updated Terms.

To use our Services, you must be at least 13 years old. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

By using our Services, you represent and warrant that you have the legal capacity to enter into a binding agreement and that you are not barred from using the Services under any applicable laws.

To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

ManaChat is a platform that enables users to create and interact with AI-powered characters for entertainment, storytelling, and educational purposes. Our Services include:

• Creating and customizing AI characters
• Engaging in conversations with AI characters
• Reading and creating interactive stories
• Accessing educational content through AI interactions

Important: The AI characters on ManaChat are powered by artificial intelligence and are not real people. You acknowledge and understand that:

• AI responses are generated by machine learning models and may not always be accurate, appropriate, or factual
• AI characters do not have real emotions, consciousness, or personal experiences
• AI responses should not be relied upon as professional advice (legal, medical, financial, or otherwise)
• AI characters may occasionally produce unexpected or inappropriate content despite our safety measures
• Conversations with AI are not confidential and may be reviewed for safety and improvement purposes

You retain ownership of the characters, stories, and other content you create on ManaChat (“User Content”). By submitting User Content, you grant ManaChat a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content for the purpose of operating and improving our Services.

You represent that you have all necessary rights to submit User Content and that your content does not infringe on the intellectual property rights of others.

Content generated by AI in response to your inputs (“AI Content”) is provided under the following terms:

• You may use AI Content for personal, non-commercial purposes
• Commercial use of AI Content may be subject to additional terms and fees
• ManaChat does not claim ownership of AI Content but retains licenses necessary to provide the Services
• AI Content may be similar to content generated for other users due to the nature of AI models

You agree not to use the Services to:

• Create content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Generate content depicting minors in inappropriate or harmful situations
• Impersonate any person or entity, or misrepresent your affiliation
• Upload viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Circumvent any content filtering or safety measures
• Use automated systems to access the Services without permission
• Scrape, copy, or redistribute content from the Services without authorization
• Violate any applicable laws or regulations

Subscription Plans: ManaChat offers subscription plans that provide access to premium features. Subscriptions automatically renew unless cancelled before the renewal date.

Mana Credits: Mana is our virtual currency used to access certain features. Purchased Mana credits are non-refundable and have no cash value.

Payment Processing: Payments are processed through Stripe. By making a purchase, you agree to Stripe's terms of service and privacy policy.

Refunds: Subscription fees are generally non-refundable, except as required by applicable law. Unused Mana credits are not refundable upon account termination.

Price Changes: We may change subscription prices with at least 30 days' notice. Price changes will take effect at your next billing cycle.

The Services, including all software, designs, graphics, and other content (excluding User Content and AI Content), are owned by ManaChat and protected by intellectual property laws.

You may not copy, modify, distribute, or create derivative works from our Services without express written permission.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WE ARE NOT RESPONSIBLE FOR THE ACCURACY, RELIABILITY, OR APPROPRIATENESS OF AI-GENERATED CONTENT. YOU USE THE SERVICES AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANACHAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate your account at any time through your account settings.

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will survive.

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration, except for claims that may be brought in small claims court.

You agree to waive any right to a jury trial and to participate in a class action lawsuit against ManaChat.

You may opt out of this arbitration agreement by sending written notice to us within 30 days of first using the Services.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through other reasonable means.

Your continued use of the Services after any changes indicates your acceptance of the modified Terms.
